(TSXV-SDR, OTC Pink Sheets-SDURF) ("Stroud" or the "Company") is pleased to report the assay results from the latest four drill holes from its current 8,000 metre drill program at its 100% owned Hislop Project near Timmins, Ontario. <br />
<br />
Drill hole 265 intersected a mineralized zone grading 4.49(g/t) gold over 9.06 metres, on section 3600 at the -170 metre level. This intersection appears to be the extension of the zone encountered in drill hole 28 which assayed 229.40(g/t) gold over 1.75 metres at the -100 metre level and drill hole 24 which encountered 4.57 metres of 10.04(g/t) gold at the -75 metre level. Drill hole 266 intersected two higher grade mineralized zones; 10.25(g/t) gold over 1.15 metres at the -170 metre level and 26.90(g/t) gold over 1.10 metres at the -260 metre level. Eighteen holes have been drilled to date in the current drilling program. Please refer to the attached map.<br />

Behre Dolbear &amp; Company Ltd. completed a National Instrument 43-101 compliant technical report dated October 25, 2004 for the Hislop Project for Stroud Resources. The report concludes that the Hislop Project contains indicated resources of approximately 102,750 ounces of gold (483,500 tonnes at 6.61(g/t)) and total inferred resources of approximately 69,700 ounces of gold (367,700 tonnes at 5.90(g/t)). The drill core sampling program includes the use of sample bags, 10% blanks and certified standard reference samples. Stroud intersected the La Rayas mineralized zone with three drill holes in 1999. In 2005, Stroud with partner Amerix Precious Metals Corporation ("Amerix") drilled three additional holes, two in the La Rayas mineralization zone and one in the Guadalupe mineralization zone. The two vein system can be traced for more than 700m with depths in excess of 200m. The La Rayas mineralized zone is typically 30 to 35 meters wide and the Guadalupe zone has an observed width in excess of 15 metres. The property has excellent road access and is transected by a high voltage power line and near a major water supply. (TSXV- SDR) ("Stroud" or the "Company") is pleased to announce the completion of its previously announced private placement financing. Stroud has issued and sold today 23.33 million units at a price of $0.18 per unit raising gross proceeds of $4.2 million. Each unit consisted of one common share and one-half of one common share purchase warrant, with each whole warrant entitling the holder to acquire one common share at a price of $0.30 until May 4, 2008, subject to accelerated expiry in the event that the 20 day average closing price equals or exceeds $0.375 per share. In connection with the placement, the Company has paid finder&apos;s fees of $307,200 in cash and issued 1,706,665 finder&apos;s warrants exercisable at $0.235 for a 12 month period to registered dealers who have arranged for purchasers of units. All securities issued pursuant to the private placement are subject to a 4-month hold period.<br />

Closing of the placement will allow the Company to complete its previously announced acquisition of the remaining 50% interest in the Santo Domingo silver project in Jalisco, Mexico from Amerix Precious Metals Corporation, to fund diamond drilling at the Santo Domingo project, as well as for general corporate purposes.<br />

The financing has also allowed the Company to broaden its investor base with several institutional investors participating, including Sprott Asset Management Inc. which purchased units on behalf of various funds it manages.<br />
