New Texas bill could help reduce fraudulent transactions

Houston, TX -- (ReleaseWire) -- 02/24/2021 -- The Texas legislature is introducing a bill in the 21st legislative session that will require certain real estate transactions to include an additional notary stamp. To help reduce fraudulent transactions on real estate documentations, the extra notary stamp will be recorded with the county clerk's office.

The additional notary seal has supplemental provisions that must be followed. First, the additional stamp must leave an indentation when affixed to paper documents. Next, the seal must be affixed over the notary's signature. Lastly, it must be applied over every document to be recorded. The Texas Secretary of State will establish the requirements for this additional stamp. If, however, real estate documents do not include the additional notary stamp, they will not be able to be processed with the county clerk's office.

About Florida Senate Bill 228

The Florida Senate Bill 228, currently in Judiciary, stipulates the following "Authorizing an employer of a notary public to require the use of a particular technology and provider in performing a notarial act with respect to an electronic record; modifying requirements for entries in the electronic journal maintained by an online notary public; clarifying that an online notary public is entitled to select his or her remote online notarization service provider; clarifying limitations on fees charged for online notarizations, etc."

If the bill is passed, it will require the Florida Department of State to publish, via its website, a list of online Florida notaries regarding the following information:

- Online notary's past and present RON service providers

- Effective dates during which the Florida online notary public used each RON service provider (as identified pursuant to ss. 117.225(5) and 117.265(5)(b)

- RONs will file a self certification verifying its audio-video communication technology and all elements associated with it to satisfy state requirements, rules, and regulations (certifications shall remain active for one year from the date of filing)

- RON service providers who are the subject of an active self-certification

In addition to the list of online notaries, the bill requires that an RON service provider will have completed the appropriate tamper-evident technology requirements. This includes technology that clearly shows any changes or modifications that were made to an electronic record once verified, accepted, and filed with the state.

Lastly, the bill forbids an RON provider to use, sell, transfer, or offer to sell any personal information obtained while performing notarial duties. This personal information includes identifiable details regarding a principal, a witness, or a person named in a record used for a legal online notarization.

The article specifically looked the decision of The California Supreme Court in the case of Barefoot v. Jennings in which the defense argued that allowing a beneficiary whose interest was terminated to sue, would "invite chaos" and permit disinterested parties (meaning parties with no legal interest) to "meddle" in the administration of the trust.

The court did not accede to the argument raised by the defendants and made the following comments regarding the interpretation of the Probate Code:

Indeed, the probate court is given broad jurisdiction " 'over practically all controversies that might arise between the trustees and those claiming to be beneficiaries of the trust.' "

(Id. at p. 765, quoting Estate of Marre, supra, 18 Cal.2d at p. 187.) Using such discretion, the court can preserve trust assets and the rights of all purported beneficiaries while it adjudicates the standing issue. As one court explained, interpreting section 17200 as we do here "not only makes sense as a matter of judicial economy, but it also recognizes the probate court's inherent power to decide all incidental issues necessary to carry out its express powers to supervise the administration of the trust."

(Estate of Heggstad, supra, 16 Cal.App.4th at p. 951.)3

The court also noted that the ruling, in this case, was limited in scope as the Plaintiff was not challenging the transfer of property in or out of the Trust but was rather seeking to have their beneficiary status restored. The challenge of property transfers by a disinherited plaintiff was viewed as a separate legal issue.

In part one of the two-part series, the article explains that determining the answer means delving into the scenario involving the change. This is especially relevant in circumstances where competence is in question and there are changes to a previously determined estate plan.

The issue arose in a recent decision of the California Supreme Court, in the case of Barefoot v Jennings. The decision written by the Honorable Justice Chin overturned a decision of the California Court of Appeal and found that the Probate Code allows persons who had their beneficiary status revoked by way of amendment to challenge the amendment if they allege the change came as a result of incompetence, undue influence or fraud. It should be noted that this decision did not consider whether an heir who never had beneficiary status could make the challenge.

In discussing a number of changes made to the trust and the statutory scheme underlying the probate court, the court made the following relevant comment:

Reading the Probate Code section consistent with the statutory scheme as a whole, and examining the statutory language to give it commonsense meaning, we conclude that claims that trust provisions or amendments are the product of incompetence, undue influence, or fraud, as is alleged here, should be decided by the probate court, if the invalidity of those provisions or amendments would render the challenger a beneficiary of the trust

The defendants opposing the challenge argued that this interpretation would be detrimental to the execution of trusts as it would enable persons with no present interest (meaning no beneficiary status) to challenge trusts and could create a raft of litigation.

Tax measures included in the Coronavirus Aid, Relief, and Economic Security Act may offer some relief to Canadian Multinationals

North Vancouver, BC -- (ReleaseWire) -- 04/08/2020 -- COVID-19 has dramatically impacted businesses and economies around the world. New measures proposed in the Coronavirus Aid, Relief, and Economic Securities (CARES) Act could temporarily reduce tax payments of corporations and in some cases allow refunds of taxes from prior years. The measures enacted in the CARES Act have not yet been enacted into law. The Senate approved the Act and on March 27th, 2020, President Trump signed the bill into law.

Other measures addressed in the Act include an employee tax retention credit to offset employee taxes and deferral on payroll tax payments. The Act also includes several measures that will impact individual US taxes for Canadian residents.

It should be noted that the US has extended its filing deadline from April 15, 2020, to July 15, 2020, so that tax filing and payment deadlines are now one and the same. There will also be additional sick leave measures with tax credits to employers to offset costs. Some of the changes will temporarily reverse or suspend the tax reform changes enacted in 2017.

Changes enacted by the CARES Act could significantly benefit some organizations. The US will allow taxpayers to deduct losses suffered this year against previous years, meaning taxpayers may apply losses to income previously taxed at 35% to obtain funds. The interest deduction rate for corporations will be raised to 50% from 30% of Adjusted Taxable Income (ATI), and corporations will be allowed to apply their 2019 ATI to calculate the deduction of their 2020 tax return.

The Employer's retention credit will introduce a tax credit of up to $10,000 per employee against employment taxes for when services are not needed or not accessible due to COVID-19 restrictions. Seattle-Based Perkins Coie, Which Recently Worked On A Similar Issue In New Mexico, Will Advise The Governor’s Office In Its Escalating Gambling Dispute With Most Of The State’s Tribal Casinos.

Oklahoma City, OK -- (ReleaseWire) -- 01/27/2020 -- The agreement covers up to $300,000 in legal fees, and Perkins Coie may charge up to $750 per hour. The current dispute between thirty-five tribes and the state dates back to December 2019, when Governor Stitt announced that the current 15-year compact would expire on January 1, 2020. Under the terms of that compact, the agreement automatically renews unless either party requested renegotiation. The state tried to renegotiate the terms, and the tribes refused to accept the state's offer. So, as far as they are concerned, the agreement is still in effect. Nevertheless, Governor Stitt insisted that "All Class III gaming activity [became] illegal on January 1st of 2020."

The Dispute Is Currently In Federal Court.
"Even seemingly straightforward 'boilerplate' contract provisions can be vague," remarked Oklahoma civil litigation attorney George H. Brown. "So, do-it-yourself contracts might save a few pennies on the front end, but they usually cost a lot more on the back end." Real estate contracts are a good example, he added. The commitments and dollar amounts are substantial in both rental and sales agreements. Yet, very few parties work with attorneys. At best, they work with non-lawyer real estate brokers. As a result, confusing terms often find their way into these contracts. Real estate contracts often suffer from another flaw, viz, there is no meeting of the minds on key provisions. The parties usually exchange multiple electronically-transmitted drafts. Generally, the principles are not even in the same room when they consummate the deal.

The Four-Corners Rule Makes Contract Provisions Even More Important.
Generally, external (parole) evidence is inadmissible in contract dispute matters. The only thing that matters are the words between the "four corners" of the written document. Breach of contract matters have an additional dimension. Generally, parties have a duty to mitigate their losses. For example, if ABC Company defaults on a commercial lease, the landlord has a duty to rent the space to another tenant. The landlord cannot simply file suit against ABC for the entire amount.

In most breach of contract and contract interpretation claims, parties must establish their case by a preponderance of the evidence (more likely than not). That's the lowest standard of proof in Oklahoma law. Therefore, it's important for an attorney to scrutinize the contract and look for any possible evidentiary advantage. Creditors keep their evaluation standards secret, making it difficult to know just how to improve credit ratings. Some of the criteria used to establish a rating include payment history/late payments, bankruptcy, charge-offs (forgiven debt), closed and inactive accounts, recent loans, cosigning an account, credit limits, credit reports, debt/income ratios, and mortgages.

This federal law passed in 1970 gives consumers easier access to, and more information about, credit files. The FCRA (Fair Credit Reporting Act) gives the right to find out the information in your credit file, and to dispute any information that's inaccurate or incomplete. People can also find out who has seen their credit report in the past six months.

The Fair Credit Reporting Act requires that each of the three credit bureaus provide a free copy of a credit report, upon request, every 12 months. An annual review is highly recommended to identify any errors or omissions.

Make sure to read the report carefully, making a note of anything that is unclear. The credit bureau is required by law to provide trained personnel to explain. If accounts are identified by code number, or if there is an unknown creditor listed, ask the credit bureau to supply the name and location of the creditor in order to ascertain that the charges are legitimate.

If any error or suspicious activity is noted, write to the credit bureau and ask them to investigate. Under the FCRA, they have about thirty days to contact the creditor and find out whether the information is correct. If not, it will be deleted.

Credit bureaus are not obligated to include all credit accounts in the report. For example, the credit union that holds a credit card account is not a paying subscriber to the credit bureau; the bureau is not obligated to add that reference.

While the information may not be completely accurate, understanding creditworthiness is important to maintaining a healthy financial status. Understanding differences between Real Estate Development and Real Estate Investment is key, according to chartered professional accountants in Vancouver

Vancouver, BC -- (ReleaseWire) -- 08/16/2019 -- There's a lot of confusion around the most tax-efficient way to hold real estate in 2019. If a taxpayer is planning to buy a piece of land and build a new house or substantially renovate an existing one, this is real estate development. Real estate development is considered active business income (ABI). As such, if development is done in a CCPC, like all ABIs, up to the first $500K of profit each year would be taxed at the 11% corporate tax rate.

Real estate investment is much more common. This is where a taxpayer purchases a condo or a house and collects rental income from a third-party tenant. Profits from renting are not considered ABI, so net rental income is taxed as investment income.

If real estate investment is held in a CCPC, the corporate tax rate is a whopping 50.67%. However, 30.67% is a refundable tax upon the distribution of dividends, which makes the effective rate on net rental income 20%. Dividends must be paid out to the shareholder in order to get back the refundable tax at the corporate level. Then, personal taxes have to be paid on dividend distribution at 35.71%—the highest tax bracket. So, the overall tax rate is the 20% paid by the corporation and 35.71% paid on personal income, totalling 55.71%.

If rental property is held personally, the highest marginal tax rate is only 49.8%. An additional tax rate of 5.91% on absolute term or 11.87 % on relative term would have to be paid by holding the investments in the corporation. Professional fees will also be involved in accounting and reporting for a corporation. This is why many believe investment property is best held personally.

However, if profits from a CCPC are the main source of a taxpayer's income, it's likely that all free cash will be held as retained earnings. Shareholders generally extract just enough income to pay for living expenses. Remaining funds are left in the CCPC and subject to much lower corporate tax rates.

If a shareholder contemplating real estate investment decides to personally hold property, taxes are first applied on the draws, which is not tax efficient. If the CCPC buys the investment directly, there is no tax consequence on the purchase.

There are two options to consider:

Using the large pool of corporate funds which are taxed only at 11% (or 27% on amounts above the SBD limit) and buying an investment property with no other immediate tax cost (there is an additional 5.91% absolute tax cost on the investment income every year).

Or

Paying 39.73% (assuming highest personal tax bracket) upfront on dividend draws to hold the investment personally. Any future cash shortfalls would have to be extracted from the CCPC as dividends first.

Ultimately, the answer depends on an individual's situation. If the taxpayer earns most of their income through employment, it makes sense to hold the investment property personally. However, if the bulk of income is earned through a CCPC, then holding the investment property in the CCPC makes more sense.
